Terms of Service

These terms apply when you use wocx.agency or engage Wocx LLC ("WOCX", "we", "us") for work. Individual projects are governed by the specific quote or proposal we agree with you, and where that document conflicts with these terms, the project document wins.

Using this website
The content here is provided for information. You may read it, quote it with attribution, and share it. You may not copy the site wholesale, republish substantial portions as your own, or use it to train a model for the purpose of reproducing it.

Quotes and scope
We quote against a defined scope. Anything outside that scope is quoted separately and agreed before we start it, not billed afterwards as a surprise. If a request turns out to be larger than it looked, we will tell you before doing the work rather than after.
Where a fixed price is given for a narrow deliverable, that price assumes the inputs we described. Missing assets, an inaccessible store, or a change of direction mid-build may change the price or the timeline, and we will say so at the time.
Your responsibilities
- Provide the access, assets and information the work needs, in reasonable time.
- Make sure you have the right to use any content, images or fonts you give us.
- Keep your own backups of your store, in addition to any we take.
- Review and approve work within a reasonable window so the project can move.
Revisions
We revise until the agreed scope is right. Revision means refining what was scoped, not adding new scope. New scope is welcome and gets quoted.
Payment
Payment terms are set out in the quote for your project. Work typically begins once the quote is accepted and any agreed deposit is received. Invoices are due on the terms stated on them. We may pause work on overdue accounts, and we will warn you before doing so.
Ownership
Once a project is paid for in full, the custom code and design we produced for you is yours. We keep ownership of our own general-purpose tooling, internal libraries and methods, which we reuse across clients. You keep ownership of everything you gave us.
Unless you ask us not to, we may describe the work in general terms in our own portfolio or writing. We will not publish your commercial figures without your permission.
Third-party services
Shopify, apps, themes and other third-party services are governed by their own terms and pricing, which they can change. We are not responsible for those changes, for an app vendor discontinuing a product, or for downtime on a platform we do not control.
Warranty and fixing our own work
If something we built breaks because of how we built it, tell us and we will fix it. That is our responsibility and not a new project. This does not extend to breakage caused by changes made by others after handover, by a third-party app, or by a platform change outside our control, though we are happy to quote for repairing those.
We do not guarantee a specific conversion rate, revenue figure or search ranking. No honest studio can, because traffic, offer and pricing are not ours to control. What we commit to is work that is built properly, tested, and does what the scope said.
Limitation of liability
To the extent permitted by law, our total liability arising from a project is limited to the fees you paid us for that project. We are not liable for indirect or consequential losses, including lost profits or lost data, except where liability cannot be excluded by law.
Ending an engagement
Either side may end an engagement with reasonable written notice. You pay for work completed and for work in progress up to that point, and we hand over what has been produced. Monthly retainers may be cancelled with notice as set out in the retainer agreement.
Governing law
These terms are governed by the laws of the State of Montana, United States, and any dispute will be handled in the courts of that state, unless your project agreement says otherwise.
Changes
We may update these terms. The date at the top of this page shows the current version. Changes do not apply retroactively to a project already agreed.
